SHOULD YOU NOT AGREE TO ANY OF THE FOLLOWING TERMS, YOU SHALL IMMEDIATELY CEASE YOUR USE OF NIELSEN RHIZA.\n/p>\n\np>\nb>1. Access and License./b>\nRhiza, LLC (\Rhiza\), an affiliate of The Nielsen Company (US), LLC (\Nielsen\) may provide you (\Client\ or   \you\) with access to technology, software, and related services (\Nielsen Rhiza\) under the terms of this End User License Agreement (\EULA\) and your service agreement with Nielsen (\Agreement\).  Nielsen Rhiza is licensed and not sold, and ownership and all intellectual property rights therein and goodwill associated therewith shall remain and accrue to Rhiza alone. All rights and licenses not expressly granted to Client herein are expressly reserved by Rhiza. \Nielsen Information\ means certain information, data and reports as licensed to the Client under the terms and conditions of your Agreement.  Client shall only have access to such Nielsen Information as is provided in the Agreement and which shall be subject to the terms thereof. Rhiza hereby grants to Client a non-exclusive, non-transferable, revocable, limited use license to internally: (a) access certain Nielsen Information using Nielsen Rhiza, (b) upload Client Data (if permitted in your Agreement) to Nielsen Rhiza; and (c) use Nielsen Rhizas data visualization features and functions; (collectively, \Purpose\).\n/p>\n\np>\nb>2. Restrictions./b>\nIn no event shall Nielsen Rhiza be used for any purpose other than the Purpose, nor may Client disclose Nielsen Rhiza to any third party. Except as this EULA expressly permits, Client shall not: (i) copy Nielsen Rhiza; (ii) sell, rent, license, lend, disclose, distribute, or otherwise transfer the Nielsen Rhiza to any third party by any manner whatsoever, including any form of on-line technology; (iii) reverse engineer, decompile, disassemble or decode any portion of Nielsen Rhiza; (iv) distribute, market, license or sell any derivative work based upon Nielsen Rhiza; (v) intercept, store or divert any data or any other information accessed through Nielsen Rhiza; or (vi) share product keys or passwords or access to Nielsen Rhiza with any person or entity outside of your company including any subcontractor, independent contractor, affiliate, or service provider, or share any single product key or password between multiple users.\n/p>\n\np>\nb>3. Client Data./b>\nIf you are permitted in your Agreement to use Nielsen Rhiza with your data or with data provided to you by your licensors (\Client Data\), you may upload such data into Nielsen Rhiza upon prior approval from Nielsen. All ownership of Client Data and all intellectual property rights therein and goodwill associated therewith shall remain and accrue to Client and its licensors alone. Client represents and warrants that: (i) Client is the owner of, or has the applicable license to, the Client Data and has the right to allow Client Data to be uploaded to Nielsen Rhiza for the use contemplated hereunder; and (ii) that the use of the Client Data with Nielsen Rhiza will not infringe or violate any third party rights. Client shall defend, indemnify and hold Nielsen harmless from and against all damages, losses or expenses (including reasonable attorneys fees) arising in connection with any claim, demand, cause of action, suit or proceeding made or brought by a third party in connection with Clients breach of the   foregoing.\n/p>\n\np>\nb>4. Disclaimer of Warranties, Limitation of Liability./b>\nNIELSEN RHIZA ARE PROVIDED \AS IS.\ RHIZA DISCLAIMS, AND CLIENT HEREBY WAIVES,  ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, TO CLIENT OR TO ANY THIRD PARTY, CONCERNING THE NIELSEN RHIZA PROVIDED HEREUNDER INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, QUALITY OR FITNESS FOR ANY PARTICULAR PURPOSE AND NON-  INFRINGEMENT.  Rhiza and Nielsen will not be liable, in contract, tort (including negligence) or otherwise, for any loss, expense   or damage of any kind including, without limitation, direct, special, incidental or consequential damages, due to any failure to provide the Nielsen Rhiza or resulting from any errors or inaccuracies in the Nielsen Rhiza or its use by Client or others.\n/p>\n\np>\nBY SELECTING \I ACCEPT THE TERMS OF THIS END USER AGREEMENT\ OPTION BELOW, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS END USER LICENSE AGREEMENT, THAT YOU UNDERSTAND IT, AND THAT YOU AGREE TO BE BOUND BY ITS TERMS.\n/p>\n\np>\nIF YOU ARE AGREEING TO BE BOUND BY THIS AGREEMENT ON BEHALF OF YOUR EMPLOYER OR OTHER ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE FULL LEGAL AUTHORITY TO BIND YOUR EMPLOYER OR SUCH OTHER ENTITY TO THIS AGREEMENT.
